1. Acceptance of Terms

By creating an account, downloading the app, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Trash Talk LLC.

By using the Service, you also consent to the sharing of certain data with third-party artificial intelligence providers (such as OpenAI) as necessary to generate content, as further described in our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Trash Talk is an AI-powered sports trash talk generation platform. The Service uses artificial intelligence to analyze live game data, scores, player statistics, and real-time sports events to generate personalized trash talk messages that users can share with friends.

Key features of the Service include:

• AI-generated trash talk based on real-time sports scores and statistics
• Multi-sport coverage including NFL, NBA, MLB, and NHL
• Friend management with team assignments for personalized content
• Adjustable tone settings from mild to savage
• One-tap sharing to messaging platforms
• Push notifications when friends' teams lose or underperform

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

Age Requirement: You must be at least 16 years of age to create an account and use the Service, consistent with the app's store age rating. The Service may generate content containing strong language, profanity, and mature humor. By creating an account, you represent and warrant that you are at least 16 years old. If we learn that a user is under 16, we will promptly terminate their account.

Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. Trash Talk LLC will not be liable for any loss or damage arising from your failure to protect your account information.

Account Accuracy: You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary to keep it accurate and complete.

4. Acceptable Use

Trash Talk is designed for fun, light-hearted sports banter between friends. While we encourage competitive ribbing, you agree to the following rules when using the Service:

• Sports-performance-only trash talk. Content generated and shared through the Service should relate to sports performance, game outcomes, player statistics, and team results.
• No harassment beyond sports banter. Do not use the Service to target individuals with personal attacks unrelated to sports. Keep it about the game.
• No defamation. Do not use AI-generated content to make false statements of fact about real people, including athletes, coaches, or public figures. Trash talk should be opinion, humor, and banter — not fabricated allegations.
• No hate speech. Content that promotes hatred, discrimination, or violence based on race, ethnicity, gender, religion, sexual orientation, disability, or any other protected characteristic is strictly prohibited.
• No threats. Do not use the Service to make threats of violence, harm, or intimidation against any person, whether in earnest or presented as humor.
• No illegal activity. Do not use the Service for any purpose that violates applicable local, state, national, or international law.
• No spam or abuse. Do not use the Service to send unsolicited bulk messages or to harass individuals who have asked you to stop.
• Consent of recipients. You should only share AI-generated trash talk with people who are willing participants in sports banter. Do not send content to individuals who have asked you not to or who would find it unwelcome.

We reserve the right to review content and usage patterns, and to take action, including account suspension or termination, against users who violate these guidelines.

5. AI-Generated Content & Disclaimers

Third-Party AI Providers: The Service uses third-party artificial intelligence providers, including OpenAI, to generate trash talk messages. When you use the Service to generate content, certain data — including game context, team names, tone preferences, and related inputs — may be transmitted to these third-party providers for processing. We do not share your personal account information (such as your name, email, or password) with AI providers. For more details, please review our Privacy Policy.

Entertainment Only: All AI-generated trash talk messages are provided strictly for entertainment purposes. The Service is designed to produce humorous sports banter and should not be relied upon for factual information, sports analysis, or any other serious purpose.

Content May Include Strong Language: You acknowledge and agree that AI-generated outputs may contain profanity, strong language, sarcasm, exaggeration, "savage" humor, and content that some individuals may find offensive or inappropriate. You use features such as "savage" tone and profanity mode at your own discretion and risk.

No Guarantee of Accuracy: We do not guarantee that any AI-generated content will be factually correct, free from errors, complete, or appropriate for all audiences. Game scores, player statistics, and other data referenced in generated messages may contain inaccuracies, outdated information, or AI hallucinations. AI-generated content may also occasionally be biased, misleading, or contextually inappropriate.

User Responsibility — You Choose What You Share: You are solely responsible for reviewing all AI-generated content before choosing to share it with others. Once you send, copy, screenshot, or otherwise distribute a message to another person, you assume full responsibility for that communication and any consequences that result. Trash Talk LLC is not liable for any offense, harm, embarrassment, reputational damage, legal consequences, or any other outcome resulting from messages you choose to send, share, or publish.

No Liability for AI Outputs: To the maximum extent permitted by applicable law, Trash Talk LLC expressly disclaims any and all liability for AI-generated content, including but not limited to claims of defamation, libel, slander, invasion of privacy, intentional infliction of emotional distress, or any other legal theory arising from content produced by the Service. All AI-generated content is provided on an "AS IS" basis with no warranties of any kind.

Content Moderation: We implement filters and moderation systems to reduce the generation of harmful or inappropriate content. However, no automated system is perfect, and objectionable content may occasionally slip through. You agree to report any content you find harmful, threatening, or otherwise objectionable by contacting us at support@trashtalkapp.com.

6. Third-Party Data & Services

The Service relies on third-party data sources and services, including but not limited to ESPN (for live sports data and scores) and OpenAI (for AI content generation). We are not affiliated with, endorsed by, or sponsored by any of these third parties.

Third-party services may experience outages, data inaccuracies, or changes to their terms of service that could affect the availability or accuracy of the Service. We are not responsible for the availability, accuracy, or conduct of any third-party services.

7. Intellectual Property

Our Property: The Service, including its design, features, code, algorithms, branding, logos, and all associated intellectual property, is owned by Trash Talk LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Your Content: You retain ownership of the messages you choose to send through external messaging platforms. By using the Service, you grant Trash Talk LLC a non-exclusive, royalty-free license to use anonymized and aggregated usage data to improve the Service.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use that feedback without restriction or compensation.

8. Subscription & Payments

Free Tier: Trash Talk offers a free tier with limited features, including a capped number of AI-generated messages per day and access to basic tone settings.

Premium Subscription: A premium subscription unlocks additional features, including unlimited message generation, an ad-free experience, the "Roast Any Team" feature, and selectable AI voice personas ("Pick Your Voice"). Premium subscription details, the current price, and the billing period are disclosed on the subscription screen within the app before purchase and may change from time to time.

Billing & Auto-Renewal: Premium is offered as an auto-renewing subscription billed monthly or annually depending on the plan you select. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase. The subscription automatically renews at the then-current price unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.

Cancellation: You may cancel your premium subscription at any time through your account settings or through your app store account (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period, and you will continue to have access to premium features until that time. Refunds are not provided for partial billing periods.

Price Changes: We may change subscription pricing at any time. If we increase prices, we will provide reasonable advance notice, and the new price will take effect at the start of your next billing cycle.

9. Termination

We reserve the right to suspend or terminate your account and access to the Service, without prior notice, if we reasonably believe that you have violated these Terms. Grounds for termination include, but are not limited to:

• Violating the Acceptable Use policy outlined in Section 4
• Engaging in fraudulent activity or misrepresenting your identity
• Attempting to disrupt, compromise, or reverse-engineer the Service
• Using the Service in a way that could harm Trash Talk LLC or other users

You may also delete your account at any time through the app settings. Upon termination or deletion, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

10. Indemnification

You agree to indemnify, defend, and hold harmless Trash Talk LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with:

• Your use of or reliance on any AI-generated content provided by the Service;
• Any messages, images, or content you share, send, publish, or distribute using the Service;
• Any claim by a third party that content you shared is defamatory, libelous, harassing, or otherwise harmful;
• Your violation of these Terms, our Acceptable Use policy, or any applicable law or regulation;
• Any unauthorized use of your account.

This indemnification obligation survives the termination of your account and these Terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Trash Talk LLC and its members, managers, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service.

The Service, including all AI-generated content, is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability of AI-generated outputs.

Without limiting the foregoing, we specifically disclaim any and all liability for any AI-generated content, including but not limited to claims of defamation, libel, slander, invasion of privacy, false light, intentional or negligent infliction of emotional distress, or any other legal theory arising from content produced by or through the Service.

In no event shall our total liability to you for all claims related to the Service exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of laws principles.

Jurisdiction: Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Wayne County, Michigan. You consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum.

Informal Resolution: Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@trashtalkapp.com. We will attempt to resolve the dispute within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with formal legal action.

Class Action Waiver: To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis, and not as part of a class, consolidated, or representative action.

13. Changes to Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, or business practices. When we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date above.

We may also provide additional notice for significant changes, such as an in-app notification or an email to the address associated with your account. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Copyright & DMCA

We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). Our full takedown and counter-notification procedure, and the contact details for our DMCA Designated Agent, are set out in our Copyright / DMCA Policy. We may, in appropriate circumstances, disable or terminate the accounts of repeat infringers. League, team, and provider names and logos are the property of their respective owners; Trash Talk LLC is not affiliated with or endorsed by any league, team, or data provider.

15. Apple App Store — Additional Terms

The following applies if you download the app from the Apple App Store, and is required by Apple:

• These Terms are concluded between you and Trash Talk LLC only, and not with Apple. Apple is not responsible for the Service or its content.
• Apple has no obligation to furnish any maintenance or support services for the Service.
• To the maximum extent permitted by law, Apple has no warranty obligation with respect to the Service. Any claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are solely our responsibility.
• Apple is not responsible for addressing any claims by you or any third party relating to the Service, including product-liability claims, claims that the Service fails to conform to legal or regulatory requirements, and claims arising under consumer-protection or similar legislation.
• In the event of any third-party claim that the Service or your use of it infringes intellectual property rights, Trash Talk LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and are not on any U.S. Government restricted-parties list.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.
